Reference is made to the announcement dated 21 February 2018 and 23 February 2018 in relation to the Proposed Private Placement. Unless otherwise stated, words and phrases used in this announcement shall have the same meaning as defined in the announcement dated 21 February 2018.

On behalf of the Board, HLIB wishes to announce that Bursa Securities has, via its letter dated 2 May 2018, resolved to approve the listing of and quotation for up to 23,628,550 Placement Shares to be issued pursuant to the Proposed Private Placement.

The approval by Bursa Securities for the above is subject to the following conditions:

(a) BHB and HLIB must fully comply with the relevant provisions under the Main Market Listing Requirements (“Main LR”) pertaining to the implementation of the proposal;

(b) BHB and HLIB to inform Bursa Securities upon the completion of the proposal;

(c) BHB to furnish Bursa Securities with the written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the proposal is completed;

(d) BHB to furnish Bursa Securities with a certified true copy of the resolution passed by shareholders at the forthcoming annual general meeting for the authority to issue shares  pursuant to the Companies Act, 2016 before the listing of the Placement Shares;

(e) HLIB must submit to Bursa Securities details of the placees in accordance with Paragraph 6.15 of the Main LR as soon as practicable before the listing of the new shares to be issued pursuant to the Proposed Private Placement; and

(f) Payment of the additional listing fee for the new shares based on the final issue price, if applicable. In this respect, BHB is required to furnish Bursa Securities a cheque drawn to the order of Bursa Malaysia Securities Berhad for the additional listing fee together with a copy of the details of the computation of the amount of fees payable.
